Financial and holding companies
Proprietors of companies and personally-owned assets increasingly tend to manage their assets through specially constituted companies, termed holding companies. There are various reasons for this trend: from the need to maintain control of the companies in the presence of inter-generational handovers, to the optimization of tax liabilities, and the need to take investment and disinvestment decisions in an organized context.
The holding company comes within the broader category of financial companies whose scope principally involves such activities as financing, payment services or financial intermediation, all of which are reserved to bodies entered on special registers authorised by provisions of the Consolidated Banking Law (CBL)
In assisting holding companies and, more generally, financial companies our professional staff have gained significant experience by assisting them in:
- Setting up holding companies;
- Consultancy on extraordinary operations (buying and selling companies, mergers, demergers);
- Allocating merger deficits or allocating consolidation differences;
- “Tax planning” for personally-owned and corporate assets;
- Assistance in drawing up individual and consolidated financial statements according to national and international accounting standards GAAP or IAS/IFRS;
- In this context, the assignments performed in the past by our founding partner as Chairman of Veneto Sviluppo S.p.A., a regional financial company, and Chairman of Friulia Veneto Sviluppo SGR S.p.A, a savings management company. are very important as also is his current involvement in the Fondo di Iniziativa Congiunta Veneto Sviluppo – Federazione delle BCC venete (The Investment Committee of the Joint Veneto Sviluppo-Veneto BCC Federation Initiative Fund: otherwise the Veneto Minibond project).
Consimp’s professional staff hold important directorships and auditorships in holding companies and companies operating in the financial sector.
